Terms of Use for Kioo
Version 2.0 – effective from August 22, 2025
1. Introduction
Welcome to Kioo, a digital tool for assessment, analysis, and development of teams and organizations ("the Service"). These Terms of Use ("the Terms") govern your use of the Service and constitute an agreement between you ("User"/"Customer") and Kioo AS (org. no. 932 315 459).
By creating an account or otherwise using the Service, you agree to be bound by the Terms. If you do not accept the Terms, you must refrain from using the Service.
2. Changes to the terms
Kioo AS may update or change the Terms. Material changes will be announced on our website and/or via email at least 14 days before taking effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
3. Registration and account
To use the Service, registration of a user account is required. You agree to:
- provide accurate and up-to-date information,
- protect your login information,
- notify us immediately if you suspect unauthorized use.
You are responsible for activity that occurs on your account.
4. Payment and subscription
If the Service is offered as a subscription or for payment, separate payment terms apply as stated in the order process or separate agreement. Non-payment may result in suspension or termination of access.
5. Permitted use and restrictions
You agree not to:
- use the Service for illegal purposes or in violation of applicable law,
- attempt to circumvent security measures or disrupt the Service's operation,
- copy, modify, or distribute content or software from the Service without written permission.
6. Intellectual property rights
All rights to the Service, including software, source code, design, logos, trademarks, and content, belong to Kioo AS or its licensors. Users are granted a limited, non-exclusive, and non-transferable license to use the Service in accordance with these Terms.
7. Disclaimer – no professional advice
The Service provides analyses, reflection points, and suggestions for team development. The Service does not constitute psychological counseling, therapy, medical treatment, legal advice, or HR consulting.
All use is at your own risk, and the Service should only be considered a tool for learning and development.
8. Limitation of liability for team and organizational outcomes
Kioo AS is not liable for conflicts, disagreements, decisions, or other outcomes that may arise in a team or organization as a result of using the Service.
It is the organization's and team leader's responsibility to ensure a safe and respectful work environment, and to assess how insights from the Service are used.
The Service should not be considered an authority or decision-making body for employment or organizational matters.
9. General limitation of liability and cap
The Service is provided "as is" and "as available". Kioo AS makes no warranties, express or implied, regarding the Service's quality, availability, or fitness for a particular purpose.
To the extent permitted by law, Kioo AS disclaims all liability for:
- direct or indirect losses,
- incidental or consequential damages,
- losses related to use of or inability to access the Service.
Liability Cap: Kioo AS's total liability under these Terms is in all cases limited to the amount the Customer has paid to Kioo AS for the Service in the twelve (12) months prior to the claim arising.
Exceptions to the liability cap apply if the damage is caused by willful misconduct or gross negligence by Kioo AS, or in case of breach of confidentiality or data protection obligations.
10. Suspension and termination
Kioo AS may suspend or terminate your access to the Service if you violate the Terms, fail to pay agreed fees, or otherwise misuse the Service.
You may terminate your account at any time. After termination, data will be deleted or anonymized in accordance with our privacy policy.
11. Confidentiality
The parties agree to treat all information they become aware of through use of the Service and which can reasonably be considered confidential, as strictly confidential. This does not apply to information that is or becomes publicly available other than through breach of this provision.
12. Indemnification
The Customer agrees to hold Kioo AS harmless for claims, losses, or costs arising from the Customer's use of the Service in violation of applicable law, third-party rights, or these Terms.
13. Force majeure
Neither Party is liable for failure to fulfill its obligations when this is due to circumstances beyond the party's reasonable control, including but not limited to strikes, lockouts, pandemics, natural disasters, war, or government orders. In such cases, the affected party's obligations are suspended for the duration of the circumstance.
14. Privacy and data processing
Use of the Service is subject to our Privacy Policy, which is available at all times at kioo.no/privacypolicy.
15. Governing law and disputes
The Terms are governed by and construed in accordance with Norwegian law. Any disputes shall be resolved by Norwegian courts with Stavanger District Court as the legal venue.
